Tripartite Memorandum of Understanding

China (Party A), Somaliland (Party B) and Ethiopia (Party C), hereinafter referred to as the “Parties”:

IN VIEW of the spirit of friendship and cooperation that prevails in their relations; and DETERMINED to enhance their cooperation so as to support economic development and expand investment opportunities; HAVE AGREED AS FOLLOWS:-

1. Port of Berbera

a. The Parties shall establish a Joint Venture, whose modus operandi shall be jointly decided through a separate detailed agreement, with a view to strengthen their economic and trade ties.

b. Through the Joint Venture, Party A shall undertake the infrastructure expansion of the facilities of the Port of Berbera, the construction of the road linking Port of Berbera to Togochale as well as the building of a railway line between the Port of Berbera and Ethiopia.

c. The Joint Venture shall be the entity through which the Parties will jointly manage the Port of Berbera. The terms of the arrangement shall be defined through a separate agreement.

d. With a view to develop tourism, in particular between the Parties, Party A shall establish a five star hotel around the Port of Berbera.

2. Other Areas of Cooperation

b.

a. Party A and Party B may cooperate bilaterally in areas of oil and mineral exploration in Somaliland. The terms and conditions of this bilateral cooperation shall be defined through a separate agreement.

b. Party A and Party C shall provide Party B with technical assistance and training needed to facilitate economic development and enhance security.

c. Party B shall allow Party A to diplomatically represent Party B in Asia. The terms of this cooperation shall be defined in a separate agreement.

d. Any two parties may enter into bilateral cooperation that serves their mutual interest.b/ b

3. Immediately afterthe signature of this Memorandum of Understanding, the Parties shall start negotiations on the terms of the Joint Venture and shall concluded the agreement within one month.
